By creating an account and using AdsPilot AI ("the Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

AdsPilot AI provides AI-powered Google Ads campaign creation, optimization, and management tools. The Service includes:

• Automated campaign builder with AI recommendations
• 24/7 bid and budget optimization
• Performance analytics and reporting
• Competitor analysis (Premium/Pro/Enterprise plans)
• API access (Pro/Enterprise plans)

3. Account Registration

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By registering, you represent that all information provided is accurate and current.

Account Security

You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access. You are liable for all activities under your account.

4. Subscription Plans and Payments

Free Trial

New users receive a 7-day free trial on paid plans. You will not be charged during the trial period. To avoid charges, cancel before the trial ends.

Billing

• Subscriptions are billed monthly in advance
• Payments are processed by Stripe
• Prices are in USD unless otherwise stated
• You authorize automatic recurring charges
• Failed payments may result in service suspension

Refunds

We offer a 30-day money-back guarantee for first-time purchases. Refund requests must be submitted within 30 days of initial payment. Subsequent renewals are non-refundable.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds for unused time.

5. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or viruses
• Attempt to gain unauthorized access to our systems
• Resell or redistribute the Service without permission
• Use the Service for illegal advertising (e.g., counterfeit goods, illegal substances)
• Reverse engineer or copy our AI models
• Share account credentials with others

6. Google Ads Integration

To use our Service, you must have a Google Ads account. You grant us permission to access and manage your Google Ads campaigns via the Google Ads API. You remain responsible for:

• Compliance with Google Ads policies
• Funding your Google Ads account
• Your ad spend and budget decisions
• Final approval of campaigns before launch

7. Intellectual Property

Our IP

All content, features, and functionality of the Service are owned by AdsPilot AI and protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works.

Your Content

You retain ownership of all content you provide (business information, campaign data). You grant us a license to use this content to provide the Service and improve our AI models.

8. Disclaimers and Limitations

No Performance Guarantees

While our AI is designed to optimize campaigns, results depend on many factors including your industry, competition, budget, and Google Ads policies. We cannot guarantee increased conversions, lower costs, or specific outcomes.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSPILOT AI SHALL NOT BE LIABLE FOR:

• Lost profits, revenue, or data
• Indirect, incidental, or consequential damages
• Damages exceeding the amount you paid in the last 12 months
• Google Ads policy violations or account suspensions
• Third-party service failures (Google, Stripe, etc.)

9. Indemnification

You agree to indemnify and hold harmless AdsPilot AI from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of third-party rights
• Your use of the Service
• Your advertising content or practices

10. Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent activity or payment disputes
• Non-payment of fees
• Prolonged inactivity (6+ months)

Upon termination, your access will be revoked immediately. Data may be retained for up to 90 days as per our Privacy Policy.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email or dashboard notification 30 days in advance. Continued use after changes constitutes acceptance.

12. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

Dispute Resolution

Any disputes will be resolved through binding arbitration in San Francisco, California, in accordance with the American Arbitration Association rules. You waive the right to participate in class actions.

13. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and AdsPilot AI
• Severability: If any provision is found invalid, the rest remains in effect
• No Waiver: Our failure to enforce a right does not waive that right
• Assignment: You may not transfer your account; we may assign our rights
